The most important clarification in a PE CFO search is whether the appointment is to a PE fund management company (the GP) or to a PE-backed portfolio company. These are different roles with different candidate profiles, different networks and different assessment criteria. A portfolio company CFO who has managed the finance function of a single leveraged business is not automatically the right candidate for a GP-level CFO role responsible for LP reporting, carried interest accounting and fund administration — and vice versa. The CFO of a private equity fund management company is responsible for the financial management of the fund vehicle itself — LP reporting and investor relations, fund accounting and NAV reporting, management fee and carried interest calculations, regulatory compliance (including FCA authorisation requirements), tax structuring of the fund and its SPVs, and the financial governance of the GP entity. This is a highly specialised role requiring prior fund accounting experience, familiarity with investment management accounting standards, and FCA regulatory awareness. The candidate pool is smaller and more specialised than for portfolio company CFO roles.
PE-backed portfolio company CFO
The CFO of a PE-backed portfolio company manages the finance function of the operating business — management accounts, FP&A, bank and sponsor reporting, working capital management, M&A support for buy-and-build strategies, and financial preparation for exit. This role requires a CFO who understands the PE ownership model and can work effectively with the sponsor’s investment team. The candidate profile overlaps with general CFO experience but requires specific PE literacy — presenting financial performance to PE investors, managing banking covenants in a leveraged structure, and preparing the business for secondary buyout or trade sale. How FD Capital Conducts a PE CFO Search
Brief definition
Before sourcing begins FD Capital works with the client to establish a precise brief — establishing whether the role is GP-level or portfolio company, defining the financial complexity (fund size or portfolio revenue, leverage, international operations, entity structure, reporting obligations), and identifying the three to five non-negotiable candidate qualities. PE CFO searches that fail typically do so because the brief assumed general CFO seniority implies PE literacy when it does not. The brief must specify the PE context explicitly.
Sourcing from the PE finance network
PE CFO candidates are rarely found through general job boards. GP-level CFO candidates come from fund administration, investment management accounting, and PE firm finance backgrounds — a network that overlaps only partially with the general CFO market. PE-specific assessment
FD Capital’s PE CFO assessment tests for PE-context capabilities specifically. For GP-level roles: fund accounting knowledge, LP reporting experience, FCA awareness, and carried interest familiarity. For portfolio company roles: ability to work with PE sponsors, covenant compliance in leveraged structures, M&A support capability, and exit preparation experience. General CFO competencies are assessed in the PE environment context, not in isolation. Candidates are expected to demonstrate fluency in the private equity terminology and financial frameworks the role requires from day one.
Shortlist and appointment
Shortlists of three to five candidates are presented within five to seven working days for most PE CFO searches. Each candidate briefing includes their PE-specific experience, PE context understanding, and FD Capital’s assessment of brief fit. GP-level CFO searches may extend to seven to ten working days given the more specialised pool. Retained search with exclusivity is available for senior GP-level and large-cap portfolio CFO appointments where confidentiality and depth of search are priorities.
